As Rare as Hen's Teeth?: The Pervasive Dysfunctionality of IP Recording Systems

Lenders have taken collateral to secure the financial obligations of their borrowers for centuries, if not millennia. A notable aspect of the development of that practice is the steady shift in the most important forms of collateral. During the early centuries of the common-law tradition, real estate dominated the practice of secured credit. The manufacturing economy of the industrial revolution brought with it a focus on the use of equipment as collateral. The twentieth century witnessed doctrinal and practical innovations that facilitated floating liens over after-acquired holdings of inventory and accounts receivable. The end of the twentieth century brought a major reworking of Article 9 of the Uniform Commercial Code to facilitate security interests in deposit accounts and securities. The last few years have brought further revisions to address developing new assets, often situated on a blockchain or some other distributed ledger technology.
